Corporate Paralegal The candidate will support the needs of an in-house legal team in the areas of Contract Administration and Corporate Governance. Contract Administration responsibilities include (i) drafting and negotiating standard biotech company contracts (i.e., CDAs, consulting agreements and services agreements), (ii) identifying and escalating contract-related issues and risks to supervisor and internal business partners, (iii) communicating directly with internal business partners regarding pending and existing contracts and (iv) assisting with the management of the companyâ€™s contract management system (Agiloft). Corporate Governance responsibilities include (i) assisting with the production and dissemination of materials for Board meetings, (ii) drafting Board minutes, consents and resolutions and (iii) assisting with SEC filings. BA/BS and Paralegal certificate required. Notary Public a plus. Should preferably have 3-5 years of experience working in a law firm or corporate setting (biotech or pharma experience).
