Senior Counsel, Mergers and Acquisitions and Investments
Duties: Work with internal clients to explore acquisition and investment opportunities and execute transactions. Lead transaction teams from the Legal and Compliance groups and coordinate with other functions. Review, negotiate and draft definitive documents and other agreements. Conduct and oversee due diligence. Review presentations and other materials. Coordinate and contribute to integration of newly acquired businesses. Supervise outside counsel and effectively manage legal costs. Develop initiatives for improving internal processes, form agreements and service levels. Deliver consistent, strategic, risk-weighted, business-focused legal counsel. Manage multiple priorities and meet tight deadlines. Untangle and analyze complex legal issues.

Qualification and Experience

Qualifications: 10+ years of work experience with a Bachelor’s Degree or 8+ years of work experience with an Advanced degree (e.g. Masters/MBA /JD/MD); or 3+ years of work experience with a PhD.
Preferred Qualifications: 12 years of work experience with a Bachelor’s Degree or 8-10 years of experience with an Advanced Degree (e.g. Masters, MBA, JD, MD) or 6+ years of work experience with a PhD. 7+ years of legal practice, with a primary focus on M&A. Admission to the bar in the United States. JD Degree. Admission to the bar in California or New York a plus. Experience as a lawyer at both a law firm and multi-national company. Experience buying/selling companies in multiple non-U.S. jurisdictions. Capacity to work independently and take initiative. Passion for excellence. Demonstrated ability to build strong working relationships with stakeholders at all levels. Excellent judgment on legal matters, reflecting pragmatism and business savvy. Excellent interpersonal skills and written and verbal communication skills. Ability to manage multiple, complex projects simultaneously. Experience managing transactions involving regulators a plus. Experience in payments or technology industries a plus.
