Responsibilities:

  • Advise private foundations and charitable organizations on complex legal and tax issues.
  • Form nonprofit corporations and charitable trusts, including obtaining tax-exempt status.
  • Guide private foundations on grant agreements, tax compliance, and succession planning.
  • Counsel philanthropists on charitable giving, including the use of donor-advised funds.
  • Advise large 501(c)(3) organizations on corporate governance, tax exemption, and unrelated business taxable income (UBTI) issues.
  • Structure mergers, affiliations, and joint ventures for nonprofit organizations.
  • Advise on complex structures involving both for-profit and not-for-profit entities.
  • Represent tax-exempt organizations in federal and state audits regarding tax and charitable matters.
  • Conduct legal research and draft memoranda, opinion letters, and compliance documents.
  • Stay updated on changing tax laws and their impact on nonprofit and philanthropic sectors.

Requirements:

  • Significant experience in advising private foundations and charitable organizations on complex legal and tax issues.
  • Extensive knowledge of tax-exempt entities, nonprofit corporate governance, tax exemption issues, and UBTI.
  • Proven ability to structure nonprofit mergers, affiliations, joint ventures, and hybrid entity arrangements.
  • Experience representing tax-exempt organizations in federal and state audits.
  • Strong background in tax law, nonprofit law, and philanthropy.
  • Exceptional communication and interpersonal skills to effectively counsel clients.
  • Ability to manage complex cases and multiple clients in a fast-paced environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active Bar membership in Texas or ability to obtain Texas Bar membership.

Certifications:

  • Licensed to practice law in Texas or the ability to waive into the Texas Bar.

Skills:

  • In-depth knowledge of tax-exempt organizations and nonprofit law.
  • Expertise in tax compliance, tax exemption processes, and succession planning for charitable organizations.
  • Ability to navigate and advise on donor-advised funds, grant agreements, and charitable trusts.
  • Strong analytical and problem-solving skills with attention to detail.
  • Excellent written and verbal communication skills.
  • Proficiency in legal research, drafting, and complex transaction structuring.
