Assistant General Counsel-Corporate
The candidate will be responsible for all SEC reporting obligations with support from the Deputy General Counsel, including principal responsibility for drafting proxy statements, review and comment on annual and quarterly reports, draft periodic reports and manage Section 16 filings. Responsible for financial transactions and credit agreement compliance with support from the Deputy General Counsel. Commercial support for treasury function. Coordinate tax restructuring and transfer pricing transactions. Draft intercompany agreements and manage intercompany commercial and finance transactions. Support domestic and international M&A activity. Coordinate diligence and anti-trust and other regulatory filings. Draft ancillary/principal documentation. Support the corporate secretary’s office in connection with board meeting preparation. Work with internal staff to oversee subsidiary maintenance program. Oversee database for 200 subsidiaries and coordinate effective management of subsidiaries with the international legal team. Responsible for major corporate policies—sanctions, code of ethics, bylaws, insider trading—and implementing annual training. Implement corporate policies and initiatives. Completes special assignments at the request of the department. Conduct and oversee research into a variety of legal issues. Provide analysis of legal and policy issues. Perform such other duties as required.

Qualification and Experience

The candidate should have a JD degree from a top-tier accredited law school. Should have 2-4 years of legal experience in a top-tier law firm or corporate law department. Thorough understanding of current federal securities laws. Ability to provide counsel and guidance on complex legal questions and inquiries. Understands business and appreciates the culture that exists within an organization and the reasoning behind key policies, practices, and procedures. Must be comfortable managing a large number of stakeholders across multiple disciplines and geographies. Must be highly organized and an effective project manager. The ability to manage a high volume of diverse tasks is essential. Takes ownership of responsibilities and exhibits pride in work. Passion for developing excellent rapport with the business teams and earning the trust of internal clients. Strong written and verbal communication skills. Excellent interpersonal skills and ability to work well with others. Enjoys working with a team to meet deadlines and accomplish goals.
