Corporate Development Inbound Licensing Director The candidate will negotiate commercial inbound software licensing agreements, manage approval content and processing for inbound content agreements and drive M&A-related commercial inbound agreement diligence. Will need to work with all levels of inbound partner as well as company management and line organizations to drive relationships from the time the decision is made to inbound a technology through to definitive agreement negotiations. In this capacity, this individual will interact with all internal company organizations including development, royalties, legal and others to identify opportunities to leverage partnerships for continued company success. Develop partner opportunities with Development executives from the time a decision to “inbound†(i.e. license or OEM) a technology is being considered. Counsel Development on the creation of a concept approval document that captures the merits of the proposed relationship. Structure then negotiate term sheets for inbound agreements with prospective partners. Communicate resulting agreement specifics to affected company organizations to ensure agreement compliance. Manage and monitor Inbound agreement obligations. Where possible, leverage partnership across additional company product lines to maximize value. Perform diligence on target company commercial software and content IP. Work with target companies and company line organizations to resolve issues. Brief executive management on key findings as needed. Assist in the development of processes that will improve the efficiency of the Licensing organization and those organizations that are involved with supporting commercial inbound agreements and/or inbound diligence.
Qualification and Experience
A Bachelor’s degree in business, finance, or law degree is required. An MBA is a plus. The candidate should have proven licensing experience with enterprise software, services or technology vendor. Knowledge of Cloud solutions a plus. Inbound Licensing, Business Development or Partner Alliance experience within a software or other technology company preferred. Ideal candidate has 5+ years of Inbound Licensing experience with proven experience in negotiating complex agreements. Experience in business development, sales, alliance support, or marketing management a plus. Must have experience in dealing with senior level executives to present concepts, proposals, company strategy, and problem resolution. Strong communication and project management skills a must with demonstrated competence presenting to management and partners. Negotiation skills required. Strong project management skills required. Excellent communication (oral and written) skills required. Strong analytical skills a plus.
