Paralegal The candidate will prepare entity organizational documents, including articles of incorporation or dissolution, stock certificates, merger agreements, and state qualifications to do business, Prepare and track written consents and resolutions, Establish and maintain comprehensive entity database to track and store entity information, documents and organization charts, Maintain calendars for annual filings and compliance obligations, Provide review and drafting support for basic corporate agreements, including NDAs and service provider agreements; prepare and maintain form NDAs and independent contractor agreements, Establish and maintain database of NDAs and corporate agreements, Assist in implementing changes to contracts to comply with application legislation and regulations, including changing data privacy legislation, Support and track ongoing litigation, mediation and complaints; manage litigation holds, Manage review of outside counsel invoices; work with Finance to track and analyze outside legal spend, Assist with preparation of presentations and summaries regarding Business & Legal Affairs matters for the Board of Directors, Assist with preparation of agendas and materials for Business & Legal Affairs department meetings, Assist with the development and implementation of corporate legal policies and templates, Perform general legal research as requested, Work with other members of the Business & Legal Affairs team on special projects, new initiatives, and other duties as assigned, 3-5 years of general corporate paralegal experience in-house or at a law firm, Bachelor’s degree or equivalent experience; paralegal certification a plus, Must have superb accuracy, be extremely detail-oriented, complete tasks in accordance with instructions and possess strong follow-up skills, Capable of handling a heavy volume of work, Strong written and verbal communication skills required, Excellent judgement and interpersonal skills, with ability to interface directly and professionally with senior executives are required. Must have excellent typing and computer skills, including proficiency in Microsoft Outlook, PowerPoint, Word and Excel are required.
