ProfileJunior - Mid-level Corporate Counsel The candidate will provide ongoing legal advice relevant tofirm's investment team and operations. Will be responsible for the following: Be a part of a team that provides day-to-day legal support to all aspects offirm's investment team and operations. Review, negotiate, and manage the various agreements, including transactional documentation, ISDA's, trading agreements, buyer representation letters, confidentiality agreements, as well as technology and other corporate agreements. Support the asset recovery services of the firm related to distressed investments. Offer legal counsel to promote compliance with applicable laws and regulations and respond to regulatory inquiries and examinations. Interpret, analyze, and provide guidance on major regulatory reforms and partner with the Compliance Department on compliance initiatives. Sustain an awareness of existing and proposed regulatory initiatives, industry trends and best practices.
Qualification and Experience
The candidate should have excellent academic background, including Juris Doctor degree from a well-respected law school. Should have 3+ years of relevant experience as an attorney while working at a leading law firm, in-house, or both. Should have strong knowledge of the regulatory framework governing investment advisers, including the Investment Advisers Act of 1940, the Securities Act of 1933, and other relevant laws and regulations. Exposure to ERISA, commodities regulation, registered mutual funds, private commingled investment vehicles, and UCITS funds is a plus. Active listening skills, including the ability to attend to the concerns of senior managers and business leaders is essential.
