Profile

Corporate Counsel – M&A and Securities The candidate will provide responsibilities include: Support the Company’s efforts on strategic corporate transactions, including all M&A activity and financing, and lead certain work streams related thereto. Lead the Company’s efforts, and manage outside counsel, with respect to drafting, reviewing and negotiating M&A related transaction documents. Lead the Company’s efforts, and manage outside counsel, with respect to buy-side and sell-side M&A due diligence. Draft, review and negotiate Non-Disclosure and Confidentiality Agreement. Draft, review and negotiate Indications of Interest and Letters of Intent. Assist in tracking covenant compliance and regulatory filing compliance. Assist in the preparation of, and provide overall legal support for, various SEC filings, including the Annual Proxy Statement, Form 10-K Report, Form 10-Q Reports and Form 8-K Reports. Provide support for Board and Committee meetings, including preparing agendas and drafting resolutions and minutes. Assist with annual shareholder meeting matters. Help maintain accurate corporate records and documentation and provide ongoing administration and data maintenance of both domestic and foreign subsidiaries. Assist in supporting the Corporate Secretary function.

Qualification and Experience

The candidate must have BA/BS and JD with excellent law school credentials. Must be licensed to practice law in New York or Connecticut or be eligible for licensure as a registered in-house counsel in CT. Must has 4-6+ years of experience doing M&A transactional work at an elite law firm and/or in-house. Must have 3+ years law-firm training at an elite law firm. SEC and public company compliance and corporate governance experience is also preferred. Experience working with or for technology companies a plus. Must have history of strategic partnering, self-motivation, working independently on projects, meeting aggressive deadlines and juggling multiple matters. Must have excellent professional ethics, integrity and judgment. Must have willingness and eagerness to roll up your sleeves and be part of a historic transformation.
