A law firm in Irvine, CA, is seeking a highly qualified Corporate Funds and Private Equity Associate Attorney to join their practice. The ideal candidate will have 4-6 years of experience in investment funds and investment management, with substantive experience representing private equity sponsors and/or agents across various transactions. The role demands creativity, a solutions-oriented mindset, and exceptional analytical and writing skills. Candidates must be licensed and in good standing in the state of California.

Duties and Responsibilities:

  • Provide expert legal advice on investment funds, including private equity, hedge funds, and venture capital funds.
  • Represent private equity sponsors and agents in diverse transactions, such as fund formation, capital raising, and investment structuring.
  • Draft and negotiate key documents, including limited partnership agreements, subscription agreements, and offering memoranda.
  • Conduct comprehensive legal research and prepare detailed reports, memoranda, and other legal documents.
  • Assist in structuring and negotiating complex investment transactions, including joint ventures, mergers and acquisitions, and strategic investments.
  • Offer guidance on compliance with relevant securities laws and regulations affecting investment funds and private equity transactions.
  • Collaborate with other legal professionals to develop and implement effective legal strategies for clients.
  • Stay current with developments in investment fund law, private equity trends, and regulatory changes to provide informed and up-to-date legal advice.

Requirements:

  • 4-6 years of experience in investment funds and investment management.
  • Substantive experience representing private equity sponsors and/or agents in a broad range of transactions.
  • Proven ability to manage complex legal issues related to investment funds and private equity.
  • Creative, solutions-oriented with strong analytical and problem-solving skills.
  • Excellent writing and communication skills.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed and in good standing to practice law in the state of California.

Skills:
