Job Overview: A law firm based in Akron, OH, seeks a skilled and motivated Mergers and Acquisitions Associate Attorney. The ideal candidate will be responsible for drafting and negotiating contracts, advising on mergers and acquisitions, and handling business entity governance matters. The Associate Attorney will also be involved in due diligence efforts, post-deal integration, and maintaining up-to-date knowledge of relevant laws and regulations. This role offers an opportunity to develop a successful practice and build a book of business over time.

Duties and Responsibilities:

  • Draft and negotiate contracts related to mergers and acquisitions, business transactions, and commercial and finance matters.
  • Advise clients on mergers and acquisitions, including the structuring and governance of business entities.
  • Provide counsel on choice of entity and assist with creating and restructuring business entities.
  • Conduct due diligence efforts and facilitate post-deal integration processes.
  • Stay informed on current laws and regulatory developments affecting mergers and acquisitions and related transactions.
  • Structure and draft documentation for various commercial and finance transactions.
  • Collaborate with clients, staff, and attorneys to ensure adequate legal support and project management.

Requirements:

  • 5 years of experience in a law firm or in-house legal department focusing on mergers and acquisitions or related areas.
  • Proven track record in drafting and negotiating complex contracts and handling business transactions.
  • Experience or background in business, tax, commercial transactions, lending, finance, or accounting is preferred.
  • Strong analytical skills with the ability to effectively manage and prioritize multiple projects.
  • Demonstrated ability to work well in a team setting and independently.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Licensed to practice law in the State of Ohio or have the ability to attain a license.

Skills:

  • Excellent drafting, research, and writing skills.
  • Strong analytical and problem-solving abilities.
  • Effective interpersonal skills with the capacity to work successfully with clients, staff, and attorneys at all levels.
