Key Responsibilities:
- Lead and manage complex corporate finance transactions with a focus on lender-side debt finance, including structuring, negotiating, and finalizing agreements.

- Oversee and negotiate sophisticated lending agreements, credit facilities, and related corporate documentation.

- Guide and support clients through corporate mergers, acquisitions, and reorganizations, ensuring seamless financial integration and restructuring.

- Actively participate in business development efforts to grow the firm’s corporate finance practice and maintain existing client relationships.
- Collaborate with cross-functional teams including litigators, financial advisors, and bankruptcy experts to provide comprehensive corporate solutions.
- Lead, mentor, and develop junior attorneys, ensuring they grow within the practice and acquire valuable skills in corporate finance law.
- Stay abreast of legislative updates, legal precedents, and market trends in corporate finance and debt restructuring.
Qualifications and Experience:
- A minimum of 8 years of experience in corporate law, with a focus on lender-side debt finance and restructuring.
- Proven track record of managing complex corporate transactions, particularly in finance and secured lending.
- An established book of business with a focus on lender representation and financial institutions.
- Previous partnership experience or senior leadership roles within a law firm are highly preferred.
Educational Background:
- Juris Doctor (.) from an accredited law school.
- Current member in good standing with the California State Bar.
Certifications:
- Additional certifications in corporate finance, securities law, or business bankruptcy are advantageous but not required.
- Active participation in Continuing Legal Education (CLE) in corporate finance and restructuring is preferred.
