ProfileGeneral Counsel The candidate will be responsible for providing and managing the delivery of essential legal services for continuous and recurring needs of the Corporation and its subsidiaries, as well as unexpected or new needs that arise. This includes, corporate governance, contracts, customer disputes, regulatory compliance, risk management and litigation matters. Provides essential and strategic legal advice to all levels of management. Advises and manages litigation in which the Corporation is a party, including coordinating prosecution of claims against third parties, defending claims against the Corporation and EEO matters. Monitors pending litigation and assesses exposures and provides advice to executive management and the Board concerning the same. Directly represents the Corporation and the Bank during legal proceedings on matters not referred to outside counsel. Advises senior management and employees concerning banking laws and regulations. Provides advice relating to the structuring, drafting, negotiating and closing of transactions entered into with third parties by the Corporation or any of its business units, including acquisitions, divestitures and real estate transactions etc. Reviews, drafts and negotiates contracts and other agreements. Identifies and manages services provided by outside counsel. Provides general and specific advice and support to all business units. Serves as secretary for the Corporation and its subsidiaries. Serves as the Secretary for the Executive Committee. May also serve on other standing committees as determined by the CEO. Updates and advises the board and senior management on legal and regulatory developments, as well as corporate governance issues. Ensure compliance with the corporate charter and other governing documents. Provides oversight and counsel to the Enterprise Risk Management and Compliance programs and on Company proprietary insurance.
Qualification and Experience
The candidate must have Juris Doctor from accredited law school and admission to Indiana Bar. Should have 10+ years of previous experience with general counseling in a business environment. Previous experience as a counsel in a corporate, banking or other related field is required. Comprehensive knowledge of laws and regulations governing banks is needed. Thorough understanding of bank procedures and policies is must. Knowledge of bank compliance and the community reinvestment act is essential.
