Corporate - General

Corporate Paralegal The candidate will be engaged with corporate governance, transactional support, subsidiary maintenance, resolution drafting, document assistance, as well as general paralegal and administrative needs within the legal department of an international specialty insurance organization. Will assist with corporate governance matters, including drafting resolutions and supporting the preparation of other board materials, maintaining organizational records and minute books, subsidiary management, and organizational chart maintenance. Support transaction closings, including commercial, M&A and financing agreements with the preparation and maintenance of closing checklists, collection and tracking of signature pages and other deliverables, preparation of standard closing documents, and ordering and reviewing of lien searches. Prepare standard equity agreements and related documents, prepare related reports and assist with filings, and maintain the company’s equity ledger. Coordinate new entity formations, including name availability checks and reservations, trademark searches, preparing organizational documents and resolutions, obtaining federal employer ID numbers, preparing foreign qualifications, and assisting with related regulatory filings. Support other company departments with routine notifications, responding to information requests and procuring related documentation. Work with in-house attorneys on document requests and review in connection with diligence reports and subpoena responses. Assist with the company’s annual insurance renewals, policy maintenance and claims reporting. Conduct legal and factual research, and data analysis and reporting as requested. Assist with internal compliance data collection, tracking and reporting.
Qualification and Experience
The candidate should have Bachelor’s Degree or combination of relevant experience and ABA paralegal certification required. Must have 5+ years of paralegal experience in a corporate law capacity. Significant in-house experience with an international organization preferred. Experience working in cross functional groups is required. Must have proficiency in Microsoft Office including, but not limited to Outlook, Word, Excel.
