Director, Corporate Legal The candidate will report directly to the General Counsel. Will assist in the preparation and review of the company's financial reports consistent with general SEC reporting requirements (i.e., Forms 10-K, 10-Q and 8-K). Manage legal compliance for the credit agreement and indenture with support of outside counsel. Assist in the periodic refinancing of our debt, including preparation and review of related documentation and management of outside counsel. Collaborate with Finance, Treasury, Accounting, Tax and Communications on financial presentations and communications, such as earnings releases. Assist Treasury and Tax in documenting intercompany transactions, such as intercompany loans and dividends. Partner with a cross-functional team on mergers and acquisitions, including structuring transactions, drafting term sheets, managing deal processes, performing due diligence, negotiating definitive transaction documentation, assisting in integration planning and implementation, managing post-closing activities and managing outside counsel. Assist with corporate governance matters, including preparation of Board and Committee agendas, materials and minutes. Assist in implementing, maintaining and monitoring various corporate governance practices and policies. Assist with the development and disclosure of ESG initiatives. Assist in developing, implementing and continually improving processes and procedures to increase scalability and efficiency of the Legal department. Work closely with Human Resources and Stock Administration to support executive compensation matters and administer equity plans and awards. Work with Legal team members on international subsidiary governance and corporate secretarial matters. Assist with risk management policies and related matters. Provide support on other legal projects as needed.
Qualification and Experience
The candidate should have a J.D. degree and be a member of at least one US State Bar Association with excellent academic credentials. Must have 10+ years of relevant experience. In-house representation of technology companies is preferred. Significant '33 and '34 Act disclosure and reporting experience is required. Significant M&A and corporate finance experience is needed. Should be skilled in the representation of public companies on governance issues and Board support. Prior experience as a people manager is essential. The ability to lead cross-functional groups is a must. Should have excellent legal and business judgement.
