ProfileSenior Legal Director The candidate will primarily focus on supporting high-performing Sales and Marketing teams on a wide variety of commercial contracts. Will work closely with Legal team colleagues, as well as with business leaders throughout the company, advising on legal risks, business strategies and commercial considerations as well as build scalable tools and processes to support a fast-growing global business. Serve as a legal business partner to senior executives. Structure, draft and negotiate complex technology transactions and commercial agreements that are both domestic and international in scope. Create, drive and implement appropriate processes, policies and guidelines for effective contracts administration. Advise and counsel the business team on the various legal issues and risks, business strategies, complex deal structures, approval processes, intellectual property and other issues related to technology transactions. Prepare and provide training on processes, policies and guidelines around licensing and compliance with corporate directives. Construe contracts and negotiate and assist in pre-litigation disputes arising under such contracts. Establish rapport and a working relationship with management at all levels to encourage and continue the proactive use of in-house legal resources. Work closely with Legal colleagues to support cross-department initiatives and the development of resources and tools to improve efficiency and legal support of the Company. Develop a thorough understanding of and familiarity with the company's business, its people, products, markets, customers and partners in order to identify trends and formulate effective strategies. Support marketing initiatives, as required. Must have experience with litigation support as it pertains to the technical product teams. Should have 8-12 years of legal experience with a deep background in software/technology licensing, particularly in a subscription-based business. Must have substantial experience in drafting commercial contracts and templates and serving as lead negotiator for complex transactions with enterprise customers. Should have prior experience with a technology company (with international operations a plus). Excellent academic credentials required. D. and California Bar membership, combined law firm and in-house experience preferred.
