Paralegal The candidate will be drafting organizational documents, including articles, minutes, resolutions, by-laws, operating agreements, stock/membership certificates, and buy-sell agreements. Will be drafting contracts, such as employment and independent contractor agreements, leases, confidentiality and work for hire agreements. Preparing Annual Minutes and Resolutions. Interacting with and responding to requests for information from clients. Assisting with and organizing due diligence and purchase/sale agreements. Drafting and familiarity with employee manuals/handbooks. Should have 2+ years of experience working as a Corporate Paralegal/Legal Assistant in a Law Firm setting including experience with the formations and maintenance of Corporations, LLC’s and LP’s as well as the acquisition and purchase of privately-held companies. Familiarity with Employment Law including drafting employment handbooks is a plus. Must have excellent computer, communication (both written and verbal), analytical and proofreading skills, and have the ability to organize and prioritize a busy desk. Ability to be an effective team member and interact with both attorneys and staff is a must.
