Vice President and Associate General Counsel The candidate will be protecting the Company, and serving as a trusted advisor and leader within the department and the Company. Will be providing both strategic and tactical support and serve as a strategic legal partner to firm’s Americas Region and Pharma GBU. Responsible for facilitating the business objectives of the Company by providing timely and effective legal support, as well as minimizing potential legal exposure and risk. Manage, develop, mentor and lead a sizable team of attorneys and staff. Assist the Company in meeting business objectives while ensuring regulatory compliance and mitigating risk. Responsible for providing counsel and support to firm’s: Americas Commercial Organization on customer transactions throughout the Region; Pharmaceuticals Global Business Unit (Pharma GBU) which develops, manufactures, and commercializes a broad range of injectable pharmaceutical products in a number of presentation formats, including vials, ampoules, and pre-mixed bags; Purchasing and Supplier Management organization (PSM) with regard to Indirect Purchasing and Pharma GBU Direct Strategic Purchasing matters; BioPharma Solutions (BPS) which partners with pharmaceutical companies to support their commercialization objectives for parenteral products by providing scientific expertise, sterile contract manufacturing solutions, parenteral delivery systems, and customized support services; Corporate Real Estate organization. Serve on the Senior Management Team of the Corporate Vice President for the Americas and Pharma GBU. Interact with virtually all departments across firm on a global basis. Partner closely with finance and other core functions and executive staff. Provide strategic guidance and support to senior leadership in connection with a variety of complex and sensitive legal and business issues. Optimize the value received by internal clients and minimize the Company’s risk of exposure to liability by proactively partnering with business leaders. Serve as a strategic partner to the senior Americas, Pharma GBU, PSM and BPS business teams, while addressing legal and regulatory risks and protecting firm’s integrity and reputation. Oversee a broad range of transactional activity from a legal perspective to enable the Company to achieve its growth aspirations. Develop long and short-term solutions that take into account the current and future needs of the business. Understand the strategic and tactical objectives of the business, advise on the associated legal implications of business plans and processes, and develop creative solutions to address those implications. Exercise sound business judgement to achieve a pragmatic balance between the legal function and the Company’s strategic objectives. Support business development with a keen understanding of antitrust issues around pricing, FDA issues including marketing, and legislative issues relevant to the pharmaceutical and healthcare industries. Keep abreast of all legal, legislative, and regulatory developments, apprise senior management in a timely manner and assure full compliance with these new laws, regulations or policy matters. Manage the selection and oversight of outside counsel, control and appropriately manage legal costs. Advise clients on a broad array of issues relating to FDA pharmaceutical regulations, advertising, product development, product labelling, promotion review, managed care. Pricing, antitrust, anti-kickback and compliance, regulatory policy and contracts.

Qualification and Experience

The candidate should hold a law degree and have obtained an undergraduate degree from a college or university of recognized standing. Must be licensed in good standing to practice law in at least one state and one federal jurisdiction within the United States without any instances of suspension, revocation, censure or other adverse events in any jurisdiction. Must have 15+ years of experience, ideally gained in a combination of working in a major law firm and in-house corporate legal department. Should have 5+ years of working in or with medical device and pharmaceutical companies on healthcare-related activities. Substantial knowledge and understanding of the laws, regulations and guidance governing the medical device and pharmaceutical industries, including the U.S. Food, Drug, and Cosmetic Act, Anti-Kickback Laws, FDA’s Hatch Waxman regulations and interpretations, Antitrust Laws. Experience with guiding businesses through periods of substantial industry, legal and regulatory change essential. Must have significant experience within pharmaceutical industry understanding the regulatory impact on the Company’s operations. Should have experience in a wide spectrum of legal matters including corporate, commercial, IP, M&A, regulatory, compliance, litigation, and international law. Legal experience operating in the Americas, Ex – U.S., is particularly valuable. Experience with pharmaceutical regulation of both FDA and global regulatory law needed. Extensive experience and skill at negotiating, drafting and counseling clients on a broad range of complex commercial and transactional agreements needed.
