Technology Transactions Attorney The candidate will be providing legal support to an array of innovative business initiatives, with a primary focus on contract review and management for data, software and technology procurement. Will be responsible for not only drafting, reviewing, and negotiating commercial contracts and enhancing and implementing contract management across the enterprise. Negotiating and drafting a variety of data, software, non-disclosure, procurement, and other vendor contracts and licenses. Constructing a system to manage and automate the contract workflow. Standardizing contract templates and preferred terms across the organization. Memorializing contractual obligations for future reference and retrieval. Collaborating with legal, compliance, and business colleagues to mitigate risk, solve cricital challenges, and improve the company’s strategic profile. Must have experience working in or with technology companies. An understanding of financial transactions and regulations is preferred. Should have 4+ years of experience practicing law at a major U.S. law firm or in the legal department of a technology company or technologically oriented financial services company. Proven experience in contract negotiation and drafting, with an emphasis on data and/or technology licensing. Additionally, knowledge of open source, cloud computing, and outsourcing issues is preferred. Familiarity with terms of service, terms of use, EULAs, and privacy policies in website agreements is essential. High intellectual aptitude and academic credentials is essential. Admission to the New York Bar is essential.
