ProfileTax Attorney The candidate will work alongside the Principals in the Tax and Business Practice Groups in structuring and negotiating mergers, stock purchase transactions, asset acquisitions, debt and equity financings, employee incentive plans, limited liability company agreements and shareholder agreements. Will work closely with the Principals of the Tax Practice Group in connection with the group’s tax controversy practice on both the federal and state level, including matters related to examination, appeals, tax court litigation and voluntary disclosures including both domestic and offshore. Demands significant client contact almost immediately and involves research, strategizing, drafting and interacting with others both inside and outside the Firm, including tax authorities.
Qualification and Experience
The candidate must have an LL.M. in Taxation and 2-6 years of law firm experience is preferred. Must be barred in Maryland or eligible to sit for the Maryland Bar exam. Knowledge of drafting transactional agreements is preferred along with an in-depth knowledge of subchapters C, K and S of the Internal Revenue Code. Additionally, familiarity with mergers, acquisitions and other transactions. Experience with international tax matters, offshore asset disclosures and tax controversy a plus.
