Senior Finance Counsel The candidate will be responsible for the Legal Department’s Finance Group. Reports directly to the General Counsel and is considered a senior leadership position within the Legal Department. Responsible for ensuring that the Finance Group consistently delivers timely and high quality legal services to its clients, and is ultimately accountable for the Group’s overall performance. Providing legal support and advice to loan officers and management on loan originations, including advice regarding transaction structure and drafting core and/or ancillary loan documents. Assisting the credit administration and loan processing/servicing groups in developing and implementing lending policies, procedures and quality control practices. Advising management on the legal risks associated with the Bank’s various loan products and assisting in the development of new lending programs. Reviewing internally and externally prepared loan documentation and due diligence. Providing legal support and advice on special assets matters, including assisting with workouts and overseeing outside counsel on collection litigation and borrower/guarantor bankruptcy actions. Providing legal support on OREO and bank facilities matters, including drafting/reviewing purchase and sale agreements, construction agreements, facility leases, letters of intent, etc., and assisting bank management on zoning/land use matters. Advising bank management with respect to lending limit and Regulation compliance. Providing legal support and advice on investment and asset/liability management matters.

Qualification and Experience

The candidate should have Juris Doctorate degree from an accredited law school. An active license to practice law in the state where the position is located is preferred (or applicable in-house exemption). Must have 5-10 years of related experience and/or training. Work related experience must consist of the practice of law in a private practice or in-house legal department required. Advanced knowledge of state and federal regulations relevant to commercial finance. Intermediate skills in personal computer operation, including word processing and spreadsheet software programs (e.g., Microsoft Word and Excel etc.). Exceptional oral, written, interpersonal and presentation communication skills required. Exceptional organizational and time management skills.
