ProfileNew York City office of our client seeks senior corporate mergers and acquisitions attorney with 5+ years of experience. The candidate will work directly with Partners in performing legal research of complex corporate and international law issues on behalf of an international law firm for public and private equity mergers and acquisitions transactions. Must have LL.M. degree. Should have experience in each of the following: formulating legal strategy based on the research of relevant jurisprudence, precedents, statutory requirements and U.S. and international laws and applying such research to the analysis of facts affecting client matters; managing the closing of corporate transactions and coordinating among client's advisors, including other law firms, lenders, accountants and consultants; providing legal advice to businesses regarding corporate governance matters, New York law, Delaware corporate law and federal securities law; drafting and negotiating contracts and other legal documents in connection with joint venture transactions, particularly in the pharmaceutical, information technology, consumer retail, finance, and shipping industries; drafting and negotiating stock purchase agreements, asset purchase agreements, merger agreements, limited liability company agreements, limited partnership agreements, joint venture agreements, non-disclosure agreements, and registration rights agreements; drafting and negotiating consents necessary to complete mergers and acquisitions transactions; drafting client memoranda providing legal advice relating to mergers and acquisitions, securities law, corporate law and corporate governance issues; and providing legal advice to and managing transactions for early-stage companies regarding funding rounds. Must be admitted to practice law in the State of New York.
