Corporate Counsel-Real Estate Transactions and Financing The candidate will be handling all legal aspects of commercial real estate matters, including acquisitions, financing, development, operations and dispositions, as well as providing counsel and support to the CEO, VPs and other members of the acquisitions, development and asset management teams. Will draft, negotiate and review transactional real estate documents, including, among others, letters of intent, purchase agreements, and confidentiality agreements, loan documents and general corporate documents, including, among others, organizational documents, partnership and joint venture agreements, and subscription agreements, and close real estate transactions on an as-needed basis. Provide regular advice to CEO and VPs regarding real estate investments compliance, including with respect to securities laws. Draft, negotiate, and finalize all commercial agreements for Asset Management, including leases, management and leasing agreements, service agreements, and vendor and supplier contracts, amendments and terminations. Draft and file all documents related to formation of new entities, name changes and other entity matters. Implementation and administration of IT tools to improve internal processes and systems within legal department, including document retention policy setting and maintenance. Conduct legal research and assist with additional legal matters and special projects as needed.

Qualification and Experience

The candidate should have JD Degree from a highly regarded law school. Must have licensed to practice law. Should have 5-10 years of experience in real estate legal practice. Experience working with real estate private equity funds is preferred. Must be well-versed in commercial acquisitions and financing including preparation of loan documents, review of title, survey and other real estate documentation and coordination of closings. Strong computer skills: Excel, Power Point, Word, online research tools, practice technology tools such as contract management system, legal dashboard and other databases are plus.
