General Counsel The candidate will provide the association with in-house legal services, and assists with a variety of legal matters in the course of normal business activities. Report directly to the President/CEO and participates on leadership and management teams as appropriate. Oversee and manage general counsel functions, including assigning, supervising and evaluating all the work of outside counsel and internal investigations. Work collaboratively with other departments and organizational units to develop and implement processes to ensure appropriate identification, analysis, prioritization, and coordinated response to legal, risk management & compliance issues. Advise on and participate in development of policies, procedures, standards, guidelines and processes. Assist and support the association leadership in clarifying and defining the authorities and responsibilities of board members, managers and other staff. Assist and support the association leadership in developing current and long range goals and objectives, and in the achievement of those goals and objectives. Provide, or ensure the provision of, efficient and effective legal services to protect and promote the interests of the association and the Tribes it serves, including conducting legal research and rendering legal opinions. Under the direction of the President/CEO, provides legal services to the Board of Directors. Review and assist in the periodic review and updating of Board Bylaws and policies. Draft, review, and/or negotiate a wide variety of contracts including employment agreements, purchase/sale agreements, leases, consulting agreements, vendor contracts, non-disclosure agreements and commercial contracts. Assist with federal and state filings, including but not limited to audits, compliance filings, and regulatory and funding source on-site survey follow-up. Provide legal services on Indian Child Protection Act, Indian Child Welfare Act, Family Violence Act, and other relevant Indian law matters. Under the direction of the President/CEO, represents or provide oversight of the representation of the association in administrative negotiations, state and federal legislative hearings, advisory groups, commission meetings, etc. Continuously monitors new laws, regulations, court cases and agency decisions to identify potential impacts on the associate and the Tribes it serves. Represent the associate before trial and appellate courts and quasi-judicial or administrative agencies. Oversee preparation and filing of motions, litigation briefs and similar filings. Assist the President/CEO and Board leadership in responding effectively to sensitive inquiries or complaints from regulatory bodies, funding sources or customers. Under the direction of the President/CEO, participates in compact and funding agreement negotiations with government agencies, including the Indian Health Service and Bureau of Indian Affairs. Mediate contract disputes as necessary, and acts as conflict management facilitator if needed, pursuant to Joint Commission or other regulatory requirements. Oversee implementation of the Records Retention Policy. Responsible for developing and managing the Legal budget. Under the direction of the President/CEO, budgets and manages the work of outside counsel. Prepare and present a brief legal report at each regular meeting of the Board of Directors, under the authority and direction of the President/CEO. Employ legal experience, legal research and professional creativity to anticipate and identify legal risks and opportunities; develop strategies and solutions to address those risks and opportunities; and appropriately communicate those strategies and solutions to leadership.
Qualification and Experience
A Juris Doctor Degree and be an active member of the Alaska Bar Association in good standing required. 5+ years of legal experience, including substantial experience in litigation, transactions, health law and/or other relevant substantive areas required. Legal experience in self-governance and federal Indian law required. 3+ years of experience managing an office of general counsel, supervising attorneys and/or performing similar function required. Knowledge: of applicable Federal, State and Tribal law, regulations, rules, policies and processes, including substantial knowledge of relevant specialized fields such as Federal Indian law and self-determination/self-governance, health law, & construction law; of Alaska Tribal Health System; of Alaska Native culture(s) and politics required. Skills: in litigation, advocacy, negotiation, mediation and dispute resolution; in drafting legislation, testimony, comments and position papers, contracts and legal instruments; in performing complex legal work independently and providing meaningful supervision and oversight of work of outside and expert counsel; in conducting internal investigations; in establishing and maintaining cooperative working relationships with individuals with wide array of cultural, political, educational, socio-economic, geographic and linguistic backgrounds; in addressing sensitive issues and situations; in advising leaders of complex organizational units required.
