Contracts Counsel/ Contracts Manager- Digital Marketing The candidate will conduct contract negotiations with clients regarding legal issues in agreements pertaining to the licensing of consumer data and services, such as SOWs, Data Services Agreements, Services Schedules, direct and indirect agreements, NDAs, and other relevant contractual documents. Will work with the sales representative to involve all internal departments (Compliance, Information Security, Product Management, Client Services, Operations, Law Department and Finance) as necessary and advise the business on commercial and legal risk issues based on legal policy as set by the Experian law department. Responsible for escalating issues as necessary to the company’s law department and/or to the company’s Targeting Senior Management. Working with sales and other internal subject matter experts to ensure initial drafts of agreements or amendments contain service terms approved by the relevant department. Ensure contracts reflect Experian policies and risk postures. Collaborates with sales personnel in reviewing and establishing contractual agreements with clients. Coordinates contract negotiations with the clients and internal personnel ensuring input from appropriate parties is represented. Drafts contract language to meet company standards. Facilitates contract revisions and final execution. Works with other members of Contracts Team, and provides support and feedback to Contracts Team members. Works closely with internal subject matter experts to assist in ensuring client adherence to contractual obligations. Enforces contract administration policies and procedures.
Qualification and Experience
The candidate should have 5+ years of relative in-house experience; reading, interpreting, understanding and advising business partners on complex and detailed agreements and business documents, while considering company policies and procedures. Excellent contract drafting and negotiating skills; Digital Marketing Field preferred. Must have strong organizational, analytical and critical-thinking skills, such as problem solving, issue spotting and decision making. Excellent written, verbal, and interpersonal skills to interact with co-workers, third parties, and with representatives of Fortune 500 companies. High level of competency with Microsoft Word, some spreadsheet skills required.
