Profile

Corporate Paralegal The candidate will assist with various aspects of corporate governance as well as its subsidiaries, including: Ownership and maintenance of corporate governance documents and records (hard copy and electronic), including board and committee minutes, consents and other corporate filings. Coordination with state agencies in various U.S. jurisdictions to obtain certificates of good standing and certified charter documents. Preparation and filing of documentation relating to entity formation and maintenance. Assistance with lien searches and summaries. Preparation of UCC filings and Blue Sky filings. Will also assist with maintenance of and compliance with company policies, securities filings and other matters, including: Assist legal department staff in the management of Insider Trading Policy, preclearance records and procedures and employee 10b5-1 trading plans. Use of SEC EDGAR database and Intelligize to retrieve and conduct searches of public company filings. Assistance in the preparation of SEC filings including 8-Ks, 10-Ks, 10-Qs and proxy statements. Distribution and management of D&O questionnaires. Will also provide transactional support to the legal team and other internal functions with respect to various corporate transactions, including: Drafting resolutions, certificates and other closing documents. Preparation and tracking of signature pages. Assistance with closings, document deliveries and preparation of closing sets. Interface with state officials to file transaction documents. Preparation of non-disclosure agreements with attorney oversight.

Qualification and Experience

Requirements: Bachelor’s Degree. 2 years of corporate law experience, specializing in corporate governance, with a law firm or as a paralegal in an in-house environment. Prior in-house experience at a public company preferred. Prior experience in the biotech industry preferred. Knowledge of U.S. corporate law and federal and state securities laws and regulations. Proficient in MS office applications – Outlook, Word, Excel, PowerPoint. Outstanding interpersonal, verbal and written communication skills. Excellent organizational skills and exceptional attention to detail. High level of confidentiality and discretion in handling of legal matters. Ability to interface with outside counsel, vendors, collaborators, all internal departments and all levels of management . Notary Public preferred. Self-initiating, team-oriented and adept at managing competing priorities.
