Profile

Paralegal Duties: Report directly to General Counsel, and be responsible for assisting attorneys in the drafting and organizing of various corporate transactions and documents. Conduct research, analysis and interpretation of corporate legal issues and cases. Works with attorneys to prepare all documents required to form corporations, partnerships, and limited liability companies in any state. Maintains corporate entity filings in all states, including updated DBAs and fictitious name filings. Assists attorneys in preparation of documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnership and/or limited liability companies. Assists attorneys with the completion of stock certificates and related stockholder agreements. Creates and maintains corporate minute books. Researches and reviews statutory, regulatory and case law on a range of issues, including: contractual agreements, employment issues, regulatory issues, corporate matters, physician issues, policies and procedures, reimbursement issues, etc. Assists attorneys with the review and drafting of contracts, bylaws, agreements, lease agreements, service contracts, etc. Assists with review and analysis of physician issues, including peer review, credentialing, Governance issues and other issues as requested. Assists with review and drafting of policies and procedures. Prepares UCC Filings and Searches in all states. Assists with drafting legal correspondence. Assists with organization and maintenance of corporate and legal files, including contract management system. Assist with all necessary compliance activity, investigations, and follow-up. Assists with management of litigation activities. Assists with regulatory filings. Assists with sale and purchase of assets or entities, including organization and analysis of due diligence information.

Qualification and Experience

Requirements: Bachelor's degree or certification in Paralegal Studies program approved by the American Bar Association. 2+ years' experience in health care, contracting, litigation or corporate law. Exceptional Microsoft Office skills, data entry experience, ability to type 50 wpm. Ability to thrive in fast-paced environment, meet established deadlines, deliver high quality customer service, and remain calm in difficult situations.
