Legal Assistant and Governance Manager Responsibilities: Provide litigation and claims support, including litigation holds, document collection/collation and litigation and claims files. Serve as Custodian of Records for US entities. Assure compliance with organizational records retention policy, as well as legal and corporate affairs department files. Provide assistance for legal department daily priorities wherever needed. Legal research and writing in support of legal and regulatory team. Ad hoc legal assistant, governance and business intelligence support. Responsible for day to day CoSec and board meeting preparation/meeting management.. Serve as Assistant Secretary to all Americas boards of directors. Maintain corporate minute books, briefing binders, and org. charts. Prepare briefing documents and minutes for Americas Board of Directors meetings. Provide general corporate support to ensure effective entity management for Americas entities. Single point of contact for all corporate governance questions, due diligence requests from Group Legal, Group Enterprise, US corporate services, and external advisors’. Department operational support, including scheduling, planning travel and expense reporting. Office management and management of IT support requirements. Responsible for the preparation and production of legal and corporate affairs reporting to ELT, VUSI board and Group Enterprise. Raise vendor POs and facilitate through to payment. Work with Finance to ensure accurate and timely cost center reporting. Partner with business units and corporate services teams on corporate and legal entity matters.
Qualification and Experience
Qualifications: 8-10 years' experience in corporate development, operational strategy and/or top tier corporate law department required; corporate law, governance and/or in-house corporate legal department experience preferred.
