Real Estate Paralegal Responsibilities: Play a pivotal role in the acquisition and disposition transactions related to the company’s portfolio of 500+ shopping center properties. Assist in organizing and maintaining the transaction documents throughout the course of a deal. Revise documents at attorneys’ direction, proofread, copy and notarize documents. Review and advise on letters of intent, purchase and sale agreements (“PSA”), access agreements, confidentiality agreements, listing agreements and lease provisions (i.e. ROFR/ROFO, etc.). Summarize PSAs and track critical contract dates. Review and approve title commitments, ALTA surveys and zoning reports, including, analyzing the underlying title documents and negotiating exceptions with the title company. Evaluating property surveys and directing surveyors to meet all applicable ALTA standards. Analyzing zoning reports and directing zoning companies to identify and summarize outstanding zoning issues. Support and interact with outside counsel. Interact with internal environmental and insurance management. Gather and manage critical deal related information from various internal departments, including, property management, accounting and tax. Oversee due diligence during PSA Inspection Periods. Familiarity with 1031 /Reverse 1031 Exchanges. Orchestrate and oversee Closings. Set up checklists of documents needed for closing of the transaction. Prepare index of transaction documents from closing documentation and organize executed documents into a closing binder. Draft memos regarding the status of projects.
Qualification and Experience
Qualifications: Bachelor’s Degree required. 5+ years of major law firm experience as a real estate paralegal handling large commercial transactions. Proficiency with various software programs including Outlook and Word. Self-motivated and detail oriented. Ability to work well in a team environment. Possess effective verbal and written communication skills. Ability to handle various projects in a fast paced environment. Must be available to work overtime. Consistent display of professionalism, tact, discretion and poise under pressure. Paralegal Certificate (preferred, not required). Notary Public (preferred, not required).
