Paralegal, Mergers and Acquisitions The candidate will join company’s Legal team supporting our Mergers and Acquisitions group. T Responsibilities: Assisting with internal due diligence, creation and maintenance of datarooms, and coordination, working closely with, contract administration, corporate development, paralegals, and lawyers. Drafting, negotiating and finalizing legal documents related to acquisitions and divestitures, including confidentiality agreements, disclosure schedules, closing documents, and checklists. Assist with the management of document review processes, including preparing and reviewing comments and redlines, seeking internal feedback, and incorporating modifications and amendments as appropriate. Developing and implementing processes, systems and tools to promote disciplined and effective acquisitions and divestitures. Along with attorneys, serve as a resource for and respond to questions about processes, summaries, reports, metrics, tools, resources, databases, and best practices related to acquisitions, divestitures, and legal integration of acquisitions from legal staff supporting such activities as well as other interested personnel. Provides direct support to internal clients (using discretion to handle matters directly or involving an attorney). Other duties and special projects as assigned. Should have 2+ years of mergers and acquisitions experience in a law firm and/or in-house. Must have excellent written and verbal communication skills. Must demonstrates strong computer skills (MS Word, Excel, PowerPoint and general database management).
