Corporate Paralegal Duties: Will support all aspects of the legal effort, with a focus on corporate record keeping, corporate maintenance, contract management and organizational matters. Provide overall organization skills to the work of the legal department to keep the work flow moving in an expeditious and efficient manner. Maintain legal department task lists and team calendar. Provide support to the legal teammates in individual projects and matters. Corporate file creation/maintenance and record keeping for over three dozen legal entities. Prepare and maintain corporate records including formation documents, state filings, minute books and transaction documents. Prepare board books and committee presentations materials. Prepare routine resolutions and certificates. Organize and maintain a legal filing system and keep the legal department filing current. Assist with domestic and foreign legal entity creation, modification and dissolution. Assist with contract drafting and contract management. Perform other tasks as assigned and accepted.
Qualification and Experience
Qualification Requirements: College degree; paralegal certificate. The candidate should have 10+ years’ experience supporting a legal department at a high level. Experience with corporate entity formation, maintenance, state filings and document management and able to review complex documents under attorney direction. Must be an experienced corporate paralegal to support the General Counsel and legal team in a placement. Strong knowledge of MS Office suite including Word, Power Point, and Excel. Excellent writing skills including the ability to proofread and edit legal documents (detail oriented).Highly organized and capable of creating and maintaining well-organized filing systems used by the legal and compliance department.
