Paralegal The candidate will be responsible for drafting documents for formation of new entities, board and stockholder actions, maintenance of minute books, corporate records and stock ledgers, option plan administration, capitalization table management/share ledger maintenance, and “blue sky” and other state and federal filings. Will include due diligence production and/or review, management of data sites, drafting of miscellaneous transaction documents, and management of closings on venture capital financing and merger and acquisition transactions.

Qualification and Experience

Qualifications: 4-year degree and 5+ years of experience as a paralegal in the business practice group of a law firm or in-house legal department dealing with business transactions as a business paralegal. Must be able to handle multiple assignments, work well under pressure, and have the flexibility to assist the team in meeting client demands on accelerated schedules. Must be available to work overtime occasionally. Superb organizational, analytical, and communications skills are also a must. Strong knowledge of Idaho and Delaware corporate law, federal and state securities laws, option plan administration, venture capital finance, and private company M&A is required. Experience with CapMx, eShares, public offerings, and secured lending is preferred. Be present at work during regularly scheduled working hours and as needed in the job position, consistent with the Firm's attendance expectations. Demonstrated skills in document/information management. Ability to express self effectively, both orally and in writing. Ability to establish effective working relationships with Firm lawyers and staff, client personnel, and other professionals. Possess strong organizational skills and attention to detail. Ability to handle multiple tasks/multiple concurrent deadlines and work well under pressure and independently. Paralegal certificate. Demonstrated knowledge of business/corporate law and the ability to take initiative and to exercise discretion and independent judgment. Strong knowledge of FileSite, Microsoft applications (especially Excel), Adobe Acrobat Pro, DocuSign, and Box.
