Corporate Paralegal The candidate will be responsible for performing assignments that are important to the success and needs of the Legal Department and the Company it serves. Use considerable judgment, advanced skills and initiative to independently resolve complex problems as they arise and must provide administrative support services to Legal Department attorneys and Company employees. Assist with preparation, organization and maintenance of Board meetings and records as necessary, including minute books, preparing agendas, drafting resolutions and written consents. Update and maintain corporate database, including lists of officers and directors of the Company and its affiliates. Prepare and file corporate formation documents, including resolutions, filings, qualifications, and coordinate with the Company’s tax department. Assist with mergers and dissolutions of legal entities. Coordinate signatures and legalization of documents, including notarizing documents as needed throughout the Company. Assist with corporate compliance administration. Draft, analyze and revise various contracts including nondisclosure agreements, supply agreements and master services and purchase agreements, etc. in accordance with corporate policies and other business requirements. Develop and manage contract database and monitor contract expiration and termination dates. Handle preparation of real estate agreements, closing documents, lease agreements, purchase and sale agreements, easements, amendments, subleases and other real estate documents. Review of title documents and surveys. Prepare trademark and patent applications and documents and conduct related intellectual property research. Maintain Company’s patents and trademarks and assist Legal Department attorneys and outside counsel with reviewing and drafting licensing agreements and other intellectual property documents. Assist attorneys in a variety of research projects. Maintain e-billing system and process invoices as requested. Communicate critical information clearly, accurately, honestly and concisely in accordance with company and department policies and procedures. Provide services in a professional, timely and efficient manner. Any and all other duties as assigned, including various administrative tasks such as scheduling, filing and project management. Bachelor’s Degree from an accredited institution and/or legal work experience of a nature and length of time required. Certificate from ABA approved paralegal training program required. 5+ years of significant experience as a legal or administrative assistant in a law firm or legal department required. Thorough working knowledge of computer software including Microsoft Word, Excel, Access, Outlook, and Power Point required. Proficiency with legal research including the use of Lexis, Westlaw and library materials required. Strong and effective communications and organizational skills and attention to detail required.
