Legal Counsel The candidate will provide legal support on all aspects of the firm's business, including investment, research and operations. Will provide legal support to the Compliance and risk teams. Draft and negotiate client investment agreements and other contracts. Support the organization of special purpose vehicles (e.g., single investor and single manager); maintenance of existing special purpose vehicles (including: legal, regulatory and tax structuring, and drafting / reviewing limited partnership agreements, shareholder agreements, and associated offering documents). Oversee the execution of corporate deadlines and maintenance of corporate records. JD degree is needed. Licensed to practice in the US. Massachusetts preferred. Bar status in good standing. Should have 4+ years of experience with a top law firm, or a combination of law firm and in-house experience. General areas of law covered: investment advisory and investment management, securities, ERISA, contract, general corporate and transactional work is needed. Experience with institutional investment services and/or products, related legal documentation including agreements, offering memoranda is advantageous. Specific experience with alternative investments: primary, secondary, and direct (co-investment) transactions (formation and/or investment) in private equity, venture capital, and real estate is preferred. Experience with regulatory, risk and compliance matters, is helpful.
