Legal Specialist, Marketing / IP The candidate will support the review, tracking and monitoring of all enterprise-wide marketing collateral/business communications for compliance with relevant laws, regulations and Change Healthcare policies and guidelines. Will conduct legal research and prepare memoranda, guidelines, training, educational materials and other written product in support of that review. Will further draft and negotiate marketing, or other IP-related contracts. As a valued member of the Legal and Compliance organization, this position has high visibility and exposure to upper management in supporting a competitive business within the healthcare industry. Will work closely and collaborate with the Director, Brand Asset Protection; Counsel; Sr. Counsel and Managing Senior Counsel. Will reports to Senior Counsel, Intellectual Property. Performs a first-level legal review of all draft marketing collateral/business communications including, for example, press releases, product manuals, product flyers, etc., to identify any legal or regulatory issues or concerns, as well as non-compliance with any Change Healthcare policies. Possesses general understanding of relevant regulatory and legal requirements, and provides training and interpretation of those requirements as needed. Possesses in-depth knowledge of the Change Healthcare Marketing Guidelines and other company policies and guidelines, and provides training and interpretation of the guidelines as required. Facilitates any further required second-level review of marketing collateral/business communications by subject matter experts (e.g., by Intellectual Property, Privacy, or Business Unit Counsel), including creation of summaries of identified issues/concerns. Assists with day-to-day management of the individuals submitting collateral for review (“gatekeepers”), scheduling meetings/training and first-line review for questions. Assists with day-to-day management of the technology including implementation/ transition/workflow process (whether transition of current SharePoint workflow/technology or some other technology) and development/updating training of new gatekeepers, approvers, etc. Supports Director, Brand Asset Protection by working with key stakeholders such as Technical Accounting, Sales, Marketing, Internal Audit, Compliance, Regulatory, etc. and ensuring required updates on changes in laws/regulatory positions are communicated to the stakeholders. Tracks and maintains reporting metrics and trending data. Acts as a consultant and interface to Change Healthcare Business Units to advise them on issues regarding compliance with the Change Healthcare Marketing Guidelines, and identifies regulatory and legal issues for review. Drafts and reviews marketing, or other IP-related, contracts and provides guidance on contract standards Participates in contract negotiations. Should have JD degree with 2+ years work experience; highest academic credentials; admission and in good standing with United States (state) Bar.
