Product and Technology Transaction Counsel The candidate will provide effective, pragmatic legal advice to the company’s product development teams in the areas of product development, product lifecycle legal issues, strategic alliances, inbound licensing and technology-related matters. Support the Business Development and product development teams in drafting, reviewing and negotiating a wide range of technology agreements, including, inbound OEM agreements, development agreements, and strategic partnering agreements. Identify risks and implications of contract terms and develop solutions to complex problems that mitigate risk and promote successful contract execution. Develop and update standard form agreements, processes and policies to provide proactive high quality support to internal clients. Counsel and educate internal business clients on both technology licensing issues and the company’s internal legal review processes. Communicate and coordinate with other legal team members as well as business clients at all levels of management (including business unit managers, product managers, developers, technology professionals and others) regarding legal and contractual issues. JD from an accredited law school with strong academic credentials and 5+ years of relevant experience in law firm and/or corporate legal department required. Strong transactional background drafting and negotiating product development and technology contracts, with working knowledge of intellectual property law and principles, general contract law, commercial law, and corporate law required. Solid understanding of business and legal issues relevant to product and technology development, especially, warranties, indemnities, limits of liability, service levels, services descriptions and product specifications required. Understanding of product development, product life cycle and/or open source issues is a plus. Ability to work independently in a fast-paced environment and to act as a leader and coordinate with internal teams within the company required. Excellent interpersonal, problem solving and verbal and written communication skills required.
