Legal Counsel, Software The candidate will be a key contributor to the Micro Focus team. Reporting to the Director and Associate General Counsel for Software, Cloud & Open Source, will provide guidance to our client constituencies spanning the MICRO FOCUS Software business teams and product portfolios. Will have the opportunity to partner with senior business leaders and legal colleagues around the globe to develop and implement advancements to the business unit's commercial operations and processes in accordance with legal and compliance requirements. Provide negotiation and drafting support of outbound contracts and license, SaaS and professional services transactions to the MICRO FOCUS Software business as required. Provide legal support for various go to market endeavors, such as web selling and SaaS within the MICRO FOCUS Software business. Provide specialized legal expertise in the area of e-commerce and web-based contracting and act as a subject matter expert for other business unit attorneys on the MICRO FOCUS Software legal team. Identify and assess legal and business risks of current commercial operations and processes. Collaborate with various business owners and legal colleagues to develop process improvements, templates and operational policies. Act as key advisor to business owners and senior business leaders with regard to various legal issues, including risk mitigation. Provide legal advice and support on customer license compliance issues and disputes. Identify and resolve highly complex legal, regulatory, and business issues. Lead complex, multidimensional projects. Take full accountability for clients’ legal needs by networking effectively to achieve resolution of matters outside of direct subject matter expertise or responsibility.
Qualification and Experience
Qualifications: Advanced university degree in law (e.g. JD Degree or LLB). Meets local legal license requirements. 6-10 years commercial legal experience at a law firm or in-house. Advanced level of experience in one or more general or specialty law practice areas acquired through being a leading resource in-house or in similar industry or law firm environment. Recognized subject matter expert in software licensing, SaaS and/or e-commerce. Advanced knowledge of technology law and contract law; some understanding of antitrust law; some understanding of international IP laws and treaties. Advanced leadership skills. Deep knowledge and strategic understanding of the information technology industry, and an ability to anticipate the strategic implications of proposed transactions, in particular, current knowledge of software licensing, SaaS and e-commerce. Demonstrated ability to communicate effectively, assertively and persuasively, including the ability to deliver executive-level presentations and advise senior representative of external and internal organizations on complex and high value/risk matters. Ability to successfully interact with a wide variety of clients, business partners, and competitors, and to document transactions in clear, well-organized and effective agreements. Sense of humor, self-knowledge, and the ability to develop friendly and collaborative relationships quickly in order to hit the ground running. English language skills to business standard required.
