Attorney The candidate will support the company's cloud computing, software licensing and consulting services businesses within U.S. Enterprise Commercial sales team. Draft, negotiate and advise business clients relative to complex cloud computing deals, strategic alliances, software licensing, consulting services, product support, teaming, non-disclosure, & other agreements with major U.S. commercial customers and partners. Localize and develop model standard agreements and clauses for future deals in the U.S. region. Manage and coordinate legal matters handled by external counsel for large commercial deals. Provide strategic advice on newly emerging Information Technology business models including Internet of Things (IoT) and Digital Transformation. Provide strategic advice and guidance on rapidly changing privacy and security regulatory issues impacting the company products and services. Law degree (JD, LLB or equivalent) from accredited US law school with excellent academic credentials and admission to and in good standing with the state bar of at least one U.S. state required. 5+ years of experience as a transactional lawyer in-house and/or at a law firm with experience in cloud computing, software hosting, systems integration, or other complex services engagements, especially those involving software and other intellectual property required. Strong analytical and drafting skills required. Command of spoken and written English required. Working knowledge of Microsoft Outlook, Word and PowerPoint required. Strong experience in negotiating information technology agreements with large enterprise commercial and/or government entities preferred. Extensive experience of advising on data protection issues and privacy laws, intellectual property, and IT services preferred. Understanding of cloud software security issues preferred.
