Counsel The candidate will support company's Information Technology Division and software business development projects. This position is primarily responsible for negotiating and drafting software license, maintenance, distribution and service agreements; providing legal guidance to company's IT divisions and other business units; conducting complex contracts negotiations and otherwise supporting a wide range of commercial transactional matters. Work closely with company's Information Technology Division and Compliance Division to negotiate complex technology transactions, including hardware/software licensing, outsourcing, e-commerce, data center and cloud services, and systems consulting. Work on data privacy and information technology risk and security issues. Develop/implement firm-wide open source software policy process, and data privacy/electronic communications policies. Act as a trusted advisor on legal issues to all levels of IT business unit personnel, up to and including senior executives. Counsel company's business units on contract negotiation objectives and strategies, and provide legal guidance to resolve disputes with third parties
Qualification and Experience
The candidate should have Juris Doctor degree and the candidate must be a member in good standing of the New York State Bar. Must have 8-10 years of experience handling licensing and commercial transactions. In-house experience is preferred, but law firm experience will be considered. Should have a solid background in drafting and negotiating software licenses (including cloud, SaaS, and hosted services agreements) and related out-bound technology transactions agreements. Must be well organized and able to manage numerous projects simultaneously. company prefers to hire a motivated attorney with excellent interpersonal skills with a strong team orientation. The candidate must have practical working knowledge of how a legal department interacts with sales and other departments. Must be able to work with minimal supervision and use Microsoft Office components without the need for other administration support. Knowledge of or experience with HIPAA, HITECH and their implementing regulations is a plus.
