ProfileVice President, Ethics and Compliance Duties: Responsible for day to day oversight and management of ethics and compliance program, ensuring that the company and its employees are complying with regulatory requirements and with internal policies and procedures; and the position facilitates enterprise wide ethics and compliance strategy, framework and processes. Supports the Chief Ethics and Compliance Officer with developing, implementing, and maintaining the organization's ethics and compliance program, designed to prevent, detect, and respond to instances of legal or policy non-compliance or other forms of ethical misconduct – and to enable other Vice Presidents, officers, and employees to conduct business in full compliance with legal and policy requirements and in line with the highest standards of business conduct. Reports directly to the Vice President, General Counsel and Chief Ethics and Compliance Officer, is in charge of the activities that constitute the operation of the compliance program, and has direct reports that are tasked with specific compliance activities, such as conducting training, auditing or risk assessments. Implementing the overall strategy, vision, mission, and plan set by the Chief Ethics and Compliance Officer for the organization's ethics and compliance program. Serving as a "business partner" to functional, business unit, and geographic business leaders – helping business leaders achieve their objectives in compliance with the law and ethical business standards. Assisting the Chief Ethics and Compliance Officer with establishing and promoting a positive culture of ethics and compliance, where employees are comfortable coming forwarding – in good faith – with legal, policy, and ethics-related questions and concerns, disclosures of potential conflicts of interest, and concerns with regard to potential wrongdoing. Functioning as part of the organization's ethics and compliance risk owner network, and is responsible for "owning" certain ethics and compliance risk areas (e.g., anti-bribery and anti-corruption) and assists in the development, implementation, and maintenance of the organization's risk framework with regard to these topics. Serving as the primary point of contact for internal and external interactions with stakeholders on matters related to ethics and compliance. Overseeing the development, implementation, and maintenance of the organization's full suite of risk-based, plain-language ethics and compliance policies – with each policy tracking to a specific risk domain within the organization's risk profile. Implementing strategies and tactics designed to continuously improve the organization's ethics and compliance program (e.g., program assessments, remedial measures, etc.) Implementing strategies and tactics designed for developing and overseeing the ethics and compliance function and staff. Supporting the Chief Ethics and Compliance Officer with initiating and organizing a set of ethics and compliance committees at the board level, executive level, and across the organization. Providing regular updates to the organization's governing authority (e.g., Audit Committee, Environmental, Safety and Compliance Subcommittee, Board of Directors), so as to enable the governing authority to be knowledgeable about the content and operation of the organization’s ethics and compliance program. Designing and implementing comprehensive ethics and compliance risk assessments and due diligences processes – designed to identify, prioritize, and assign accountability for managing existing or emerging ethics and compliance risk. This includes legislative and regulatory tracking and monitoring.
Qualification and Experience
Qualifications: A Bachelor's degree is required; Master's and/or JD Degree with certification in compliance are preferred. 10+ years of legal or compliance experience in chemical manufacturing, including experience in a senior in-house legal or compliance position within a public or privately-held company. Must have a proven track record of successfully developing and managing a team of compliance professionals and staff. Strong planning, project management and problem solving skills. Excellent leadership skills with ability and desire to mentor and develop staff. Ability to establish and maintain effective working relationships with superiors, colleagues, as well as internal and external contacts. Excellent knowledge of compliance requirements and regulations impacting the chemical manufacturing industry including laws related to global operations. Strong critical thinking and analysis skills with ability to provide alternative approaches and solutions. Exceptional communication (verbal, written), presentation and interpersonal skills. Results oriented with ability to deliver within a fast-paced, execution oriented environment. Holds self and others accountable to meet and exceed expectations and to deliver business results.
