General Counsel Duties: Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters. Serves as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures. Judges the merits of court cases and claims filed against or on behalf of the company, works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted. Structures and manages the company’s internal legal function and staff. Oversees the selection, retention, management and evaluation of all outside counsel. Advises on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities. Provide advice and counsel on a broad range of legal topics to include: labor and employment law, contracts, subpoena responses, intellectual property, research compliance and risk management strategies. Develops innovative solutions for difficult, complex, and systemic problems that may have precedent setting implications for the institution. Negotiate and/or assist in the negotiations of labor or employee contracts. Serves as Corporate Secretary and collaborates with Executive Management around Board related tasks and opportunities. Other duties as assigned.
Qualification and Experience
Qualifications: PhD/Doctorate. Admission to practice law before a State or federal Court. 15-20 years' experience in either a corporate law department (desired), law firm or government agency. General business, commercial and or labor/employment law experience. Experience working with or for non-profits is desired. Experience managing other attorneys and supervising support staff in a corporation; experience with cost-effective management of outside legal resources. Experience in directing strategy and managing complex IP litigation cases.
