General Counsel Responsibilities : The candidate will work with the CEO, board and senior management to ensure that the corporate structure and governance supports the business and propagates PVC. Ensure that firm remains in compliance with all regulations in the global jurisdictions in which to operate, including tax and financial services regulations. Serve as a legal thought partner with heads of business units to innovate and expand the businesses. Ensure that all contracts with firm’s clients, vendors and partners balance the need to protect the company while remaining flexible enough to ensure healthy growth. Support the Human Resources area in ensuring firm's legal approach balances legal obligations and the need to protect the company with treating employees as trusted individuals. Lead the legal staff (currently two people) as well as manage outside counsel retained to represent firm in areas requiring specialized legal expertise. Lead company-wide responsibility of balancing the minimization of legal risk with desire to aggressively pursue innovation, new markets, M&A opportunities and partnerships. Identify, respond to and own the resolution of all issues that arise that could pose legal risks to the company.
Qualification and Experience
Requirements : The candidate should have a J.D. from an ABA-accredited law school. 10 or more years’ experience as a practicing attorney in a sophisticated environment such as a large law firm, financial institution, publicly traded corporation or complex privately held company. MBA or possess other financial credentials preferred. International legal and tax experience. Experience working with government financial regulatory bodies such as the SEC or CFTC. Experience working with structured financial products or securitizations. Substantial experience in finance such that the candidate is able to contribute to financial structuring discussions and determine appropriate legal structures that meet legal and financial objectives of the company. Experience directly managing or supporting leadership in managing controversial and high-profile issues. Demonstrated success in leading, empowering, and delegating effectively to a successful team. High ethical standards and an alignment with firm’s purposes, values and culture.
