Sr. Counsel, Business & Legal Affairs The candidate will provide legal support to the Digital Networks business. Handle production legal needs for the Digital Networks group divisions as needed, including the following: structuring, negotiating and drafting deals relating to the development and/or acquisition and production of various types of programming content, including custom content and influencer campaigns, unscripted programming, magazine-style web shows, original live action web series, “reality” shows, transmedia projects, and traditional television programming; supervising clearance matters; drafting and obtaining releases; negotiating and drafting talent/crew, venue and vendor agreements; advising on guild issues; evaluating rights/chain of title; and ensuring that the company and all content and campaigns comply with relevant laws, rules and regulations, including FTC guidelines and consent order(s). Provide legal support to the Digital Medial Sales team and the Digital Networks group businesses in connection with the digital advertising business, custom content and influencer campaigns, including: drafting and negotiating third party agreements in support of the Digital Media Sales team, including indirect partnership agreements and vendor agreements; negotiating and closing media and custom content campaign agreements with major agencies and brands, as well as agreements supporting the campaigns, including agreements with influencers, sponsorships and integrations; and ensuring that the company and all campaigns and content comply with relevant laws, rules and regulations, including FTC guidelines and consent order(s). Provide legal support at the direction of the Vice President, Business & Legal Affairs servicing the Digital Networks group team in connection with various projects related to the direct-to-consumer business initiatives of the division on an as-needed basis. JD from a top-rated law school with strong academic credentials and active state bar member [or eligible to register as In-house Counsel with the state bar] required. 4-6 years as a practicing attorney with in-house experience in production and development required. Advertising and marketing legal experience required. Ability to work well with business executives, producers, and talent representatives required. Strong: drafting and analytical skills; negotiation and communication skills required.
