ProfileCorporate and Securities Associate The candidate will be responsible for: legal research, written memoranda and client advice, preparation of transactional and private offering documents, negotiation of legal and commercial investment terms and extensive client and opposing counsel interaction. Should have a J.D. degree from an accredited law school and a strong academic record. Preference will be given to the Top 20% of graduating class or GPA of 3.5 and above. Must be in good standing and admitted to practice in a US State Bar. Admission to the District of Columbia is expected if not currently admitted. Must have 3+ years of experience in a transactional practice or working with private investment funds representing (i) fund sponsors in connection with the structuring, formation, management, marketing and regulatory compliance of US and non-US private investment funds, related vehicles and investment advisers, and ongoing counseling of fund sponsors, and (ii) advising institutional investors in connection with their investments in various types of private investment funds and separate managed accounts, as well as some experience with co-investment transactions. Should also have experience working in a law firm or corporate department handling legal research, written memoranda, preparation of transactional documentation, client advice and negotiations with counterparties.
