Corporate Counsel Duties: will provide a broad range of corporate, securities and transactional legal support to a growing innovative technical company. Reporting to the General Counsel, will work closely with the Company’s executive and management team on important strategic matters, support functional leaders as a team member on corporate projects and assist the General Counsel in providing corporate governance support to the Board of Directors and its committees. Will also provide contractual support on commercial contracts for business area leaders. Responsibilities include: Providing legal support on acquisitions, joint ventures and strategic investments, including due diligence, drafting, negotiating and closing transactions. Drafting and providing legal review of SEC filings, including periodic and current reports, proxy statements and registration statements and other securities compliance activities for a NASDAQ listed public company. Assisting the General Counsel with corporate secretarial support to the Company’s Board of Directors and its committees. Supporting the company’s business operations on commercial contracts, frequently involving intellectual property issues.
Qualification and Experience
Qualification Requirements: A Juris Doctor (J.D.) degree from a top ABA-accredited law school. Bar admission in any state required, California Bar membership is preferred. 4+ years of corporate transactional and securities law experience. Prior experience working in the corporate department of a nationally recognized law firm preferred. Significant project management experience with a demonstrated ability to manage multi-task, multi-deadline, and cross-functional projects effectively. Strong ability to prioritize workload and work independently and on a self-initiated basis.
