Securities Attorney The candidate will report to the Chief Counsel, responsible for the Corporate Treasury function. Responsibilities may span securities-law matters, corporate governance, and related transactions. Specific responsibilities may include: Advise on the preparation of company's 10-K, 10-Qs, proxy statement, and securities-offering materials. Advise on investor inquiries and otherwise support the Investor Relations and Communications functions. Advise on regulatory inquiries from the SEC and other regulatory authorities. Draft and review securities-law disclosures and other investor communications. Collaborate with other members of the Legal function and colleagues in Finance, Compliance, Risk, and Human Resources. Track changes in the law, regulatory pronouncements, and regulatory enforcement trends and activities. Should have law degree from a reputable law school and strong academic record. Bar membership in good standing is needed. Must have 7-10 years of full-time legal practice, with a preference for in-house counsel and public-company experience. Should have advanced knowledge of federal and State securities laws, including the Securities Act of 1933, the Securities Exchange Act of 1934, and the Investment Advisers Act of 1940. Must have exemplary written and oral communication skills.
