Senior Counsel, Institutional The candidate will focus on the legal needs of the growing Institutional platform. Work closely with business partners across the organization to anticipate and meet the regulatory requirements of new and existing business initiatives and further enabling the continuing growth of our Institutional product and services platform. Provide day-to day advice and counsel to business leaders and colleagues with a pro-active, solution-oriented approach. Review and negotiate client account documentation (investment management agreements, guidelines) with sophisticated institutional investors and consultants located globally; benchmark industry practices. Review and interpret relevant statutes, rules, and proposed regulations. Provide guidance to business partners in the development, operations, and continuous offering of the firm’s institutional advisory products and services. Provide leadership and counsel in the review of institutional client marketing and client reporting and other communications materials, mediums (including marketing decks, RFP, DDQ, databases). Take initiative to identify and analyze problems, generate alternative solutions, and work collaboratively with colleagues across the organization to execute on an action plan. J.D. with exceptional academic credentials; active membership to the New York bar or willing to become qualified in New York within a reasonable period required. 10+ years of relevant experience, with demonstrated business acumen and a strong understanding of the institutional asset management business including 3+ years of experience as in-house counsel for an asset management firm required. Strong experience analyzing and working within global securities regulations relevant to the offering of institutional investment products and separate account services required. Thorough knowledge of the federal securities laws including the Investment Advisers Act of 1940, ERISA (including prohibited transaction rules/exemptions and other provisions relevant to investment managers), GIPS, MiFID and strong experience in the development, launch, and ongoing offering of institutional investment products and services, including collective investment trusts, private funds, offshore investment fund structures required. Expertise in quantitative asset management and/or ETFs strongly preferred. Substantive transactional experience, including mergers & acquisitions and joint ventures involving asset managers preferred. Prior experience managing attorneys and other legal staff in a player-coach role required. Excellent written and oral communication skills, including the ability to communicate complex legal issues in layman’s terms required.
