Special Counsel, Corporate The candidate will represent international companies, with particular emphasis on Chinese enterprises and investors in US operations. Will work on all aspects of international business transactions and international trade finance, including issues related to customs classification and clearance, freight forwarding and cargo insurance coverage, letter of credit and other commercial credit arrangements, the UN Convention on Contracts for the International Sale of Goods (UNCISG), and customary international trade terms promulgated by the International Chamber of Commerce (ICC INCOTERMS). Provide advice, analysis, drafting of documentation, due diligence investigations and other tasks broadly related to representation of companies in connection with their operations, financings and other significant transactions, with emphasis on cross-border mergers and acquisitions. Handle transactions covering: private equity and venture capital investments, representing both investors and companies; secured and unsecured debt financing transactions, representing both lenders and borrowers; company restructurings, joint ventures, compliance and reporting obligations; and various other types of general corporate matters. Engage in international business development activities, including participation in international business and industry groups.
Qualification and Experience
The candidate should have a J.D. degree and 8 years of experience in the job offered or 8 years of experience with corporate transactional law. Experience must include 8 years representation of international clients and cross-border transactions including Chinese companies and investors. Membership in an international business or industry group and member in good standing of the New Jersey Bar is required. Must be fluent in written and oral Mandarin.
