Legal Senior Director - Transactions and M&A Reporting to the Vice President & Chief Counsel - Global Transactions, candidate will serve as lead legal counsel to the company’s Corporate M&A Team for the portfolio of Business Units/Sectors to which they are assigned, supporting company’s global strategic business transactions, including acquisitions, divestitures, joint ventures, and other strategic transactions. Provide general advice and counsel, early stage M&A/Transaction support, due diligence review, transaction execution, outside counsel management, Sector M&A/Transaction support, and relevant business support/adjacencies. Work collaboratively with the Sector General Counsels and their legal teams (i.e., NAB, NAN, FLNA, LatAm, ESSA, AMENA) to lead or support Sector-driven projects. Serve with the Legal M&A Team as the "Center of Excellence" for M&A/Related Transactions Legal support for the company. Provide advice and counsel, technical expertise, and strategic leadership on M&A and other transactions and issues for assigned BU/Sector portfolio(s). Drive M&A COE legal agenda based on Corporate M&A priorities and related disciplines. Negotiate and draft documents for global transactions, including mergers, acquisitions, divestitures, joint ventures, fund investments, minority investments, and related agreements and other transactions. Manage overall legal support for complex transactions (including internal and external counsel) from inception to execution and ensure transactions are structured appropriately, including with respect to applicable PEP policies (e.g., JV Governance Guidelines). Provide leadership and support to M&A Legal team and Sector GC and lawyers working on M&A and related matters, including coordinating with Corporate Legal regarding US securities laws compliance and corporate governance issues as well as with other Corporate Functions (e.g., Treasury, Tax, Control). Develop and harmonize standard processes and templates; create, improve, and institutionalize knowledge base for M&A Legal and related support. Develop, harmonize, and deliver legal education to business colleagues (e.g., antitrust, contract negotiation/drafting, etc.). JD degree from a top-tier US law school required. Bachelor's degree from a top-tier college or university required. 12+ years of relevant legal experience, including meaningful time in private practice with a top-tier law firm and, preferably, a combination of law firm training and in-house experience with a major international company required. A comprehensive understanding of legal principles underlying various M&A transactions, including disclosure, antitrust, compliance, corporate governance, etc required. Experience with cross-border transactions and international acumen required. Superior analytical ability and drafting/negotiation skills required. Strong business orientation and excellent judgment in balancing risk taking with specific business guidance combined with unquestioned integrity required. Outstanding interpersonal and leadership skills as well as executive presence - ability to motivate and positively influence others at all organizational levels; team and transaction management skills across legal disciplines and jurisdictions required. Significant experience with licensing, service and distribution agreements, joint development agreements, and other relevant commercial agreements required. Fluency in a second language helpful.
