Associate Investment Counsel Duties: Report to the Head Investment Counsel, and coordinate with the Head Investment Counsel to provide legal advice and guidance on a wide range of matters relating to the investment and management of the endowment assets, including: Review and negotiation of agreements relating to proposed and existing investments and transactions; Legal assessment of and legal due diligence for proposed and existing investments and transactions; Providing advice on internal processes for reporting and compliance with respect to particular investments or investment structures; Providing advice on regulatory, securities, and other filing requirements. Work directly and independently with members of HHMI’s professional investment staff with limited day-to-day oversight by the Head Investment Counsel or by the VP & General Counsel, to whom the Head Investment Counsel reports. Responsible for certain other financial and corporate matters for HHMI and affiliated entities. Work closely with and earn the trust of HHMI’s professional investment personnel. Identify and frame issues and convey them clearly to non-lawyers. Exercise sound judgment and be willing to seek assistance from the Head Investment Counsel or outside advisors when needed or otherwise appropriate. Bring to bear excellent attention to detail while quickly assessing the most important issues of a particular matter. Actively monitor trends and market, legal, and regulatory developments applicable to relevant segments of the investment industry. Employ the highest standards of integrity and ethics, be beyond reproach in business dealings, and be willing to recognize and admit mistakes.

Qualification and Experience

Qualifications: JD Degree with a strong academic background. Active membership of an established Bar. 5+ years of experience as a transactional attorney in private practice with a reputable law firm or in a top corporate or investment management legal department. Significant experience in investment fund formation and structuring is strongly preferred. Significant experience in legal practice including drafting, reviewing, and negotiating a variety of investment agreements; drafting and reviewing legal memoranda; analyzing complex legal and factual issues; performing substantive legal research; and advising clients. Knowledge of issues relating to tax-exempt organization investment activities is preferred. Excellent interpersonal, analytical, problem-solving, and organizational skills. Excellent written and verbal communication skills. Excellent judgment; able to handle multiple projects and set priorities. Able and willing to handle a variety of tasks across a broad range of substantive areas and to learn new areas quickly. Creativity and positive attitude.
