Associate Corporate Counsel, Governance and Compliance The candidate will be responsible for supporting corporate governance processes, managing the Company’s ethics and compliance program, serving as subject matter expert in certain compliance areas, including data privacy, and general corporate transnational support. Will report to the Company’s General Counsel and work closely with both the Legal team and stakeholders throughout the Company. Responsibilities will include: Support the General Counsel on corporate governance processes for a multinational corporation with approximately twenty-five foreign subsidiaries; Provide strategic leadership for all aspects of the compliance program, including the scope and structure, working to continuously improve the program’s relevance and effectiveness; Maintain and update the Code of Conduct and related policies and procedures and internal controls; Oversee management of hotline for reporting and guidance issues as well as other ethics and compliance intake mechanisms and uniform handling of report resolution; Develop and deliver training and communications programs to promote the awareness and understanding of new and existing compliance issues and related Company policies and procedures and promote a culture of compliance; Stay current on enforcement and compliance requirement trends, identify potential areas of risk, and partner with internal stakeholders to develop and implement appropriate recommendations and Assist the General Counsel on general transnational matters. The candidate should hold JD and one state bar membership; membership in the Oregon, Washington or California Bar is preferred having 3-5 years legal experience in governance, compliance area and business transactions. Should have working knowledge of global data privacy and anti-corruption regulations; knowledge of export control and technology transfer regulations preferred. Preferably have experience in the semiconductor industry.
